Quotes
Quotes are valid for 1 week from their given date and may be subject to change after 7 days (including weekends) has passed. A quote will include a break down of the work required, estimated time to complete as well as a total cost. All quotes are no obligatory to both you and us.

Pre-Project
You will not be asked to make any payments during the project phase.
You will be provided with an initial consultation to discuss your ideas.
You will then be provided with a full project brief and quote before making any payments.

Payments and Project Milestones
You will be asked to pay a 25% deposit before any work starts on projects over £3,000.
Projects under £3,000 are billed in one lump sum.
You will be provided with a set of project milestones and a payment schedule.
Once you have approved a milestone you then make a payment to us, this is an agreement on your part that the work carried out up to that milestone is satisfactory.

Imagery & Copyright
When starting a project you may wish to provide your own images to use.
If you provide your own images you are responsible for ensuring that they are royalty free or that you have attained the relevant license for them. You can not simply search Google and take someone else’s image.
ALT Agency are not responsible for images or content that you provide us and ask us to use. This content content includes but not limited to text, fonts, images, video and logos.
Should you wish ALT Agency to source imagery, fonts or video content for you we will do so from reputable licensees and an additional charge outside of your original project cost will be required.

License
By engaging with ALT Agency to design & develop your website you are granting ALT Agency a license to use your provided logo, Imagery and brand guidelines. You confirm that you are the legal holder and agree to hold ALT Agency harmless to any claims that may arise due to your negligence.

User Content
In these terms and conditions, “your user content” means material (including without limitation text, images, audio material, video material and audio-visual material) that you submit to ALT Agency via email or this website, for whatever purpose.
You grant to ALT Agency a worldwide, irrevocable, non-exclusive, royalty-free licence to use, reproduce, adapt, publish, translate and distribute your user content in any existing or future media. You also grant to ALT Agency the right to sub-license these rights, and the right to bring an action for infringement of these rights.
Your user content must not be illegal or unlawful, must not infringe any third party’s legal rights, and must not be capable of giving rise to legal action whether against you or ALT Agency or a third party (in each case under any applicable law).
You must not submit any user content to the website that is or has ever been the subject of any threatened or actual legal proceedings or other similar complaint.
ALT Agency reserves the right to edit or remove any material submitted to this website, or stored on ALT Agency’s servers, or hosted or published upon this website.
Notwithstanding ALT Agency’s rights under these terms and conditions in relation to user content, ALT Agency does not undertake to monitor the submission of such content to, or the publication of such content on, this website.

Satisfaction Guarantee
You will always be provided with the strictest professional service, our satisfaction guarantee means that from the moment you approve your final website you will be covered for full support for 90 days. This includes the fixing of any bugs/errors that may occur during that time.
Should another web developer or web agency make changes to your website that we need to rectify then you will be charged at the full rate of £50+vat per hour.
The satisfaction guarantee also covers refunds at the design stage. If for any reason you do not like the design work we do for you, then we will refund your first paid 25% milestone.

The money back guarantee does not include you changing your mind or scope of the original agreed project
You will not be able to use the designs or claim any right to the designs once we have refunded your 25% deposit paid at the design stage.
Any work that ALT Agency carries out will be deemed accepted if published live or is used for any other use than testing and full payment will be due.

3 Point Pledge
The 3 point pledge only applies when requested by the client, and agreed on a case by case basis, before a project starts. It does not cover all projects by default. You will receive a 3 point pledge PDF document with your project, if you have not requested one or do not receive on then your project is not covered by the 3 point pledge.
The amount of compensation covered by the 3 point pledge varies per project, it only applies upon request, and not by default, before starting a project. The full compensation will be outlined in an agreement before your project starts, if you do not agree this beforehand it will not apply to your project.
There are limited revisions to the satisfaction guarantee, ALT Agency will work on up to 5 revision of your design/development.

No Warranties
This website is provided “as is” without any representations or warranties, express or implied. ALT Agency makes no representations or warranties in relation to this website or the information and materials provided on this website.
Without prejudice to the generality of the foregoing paragraph, ALT Agency does not warrant that:
this website will be constantly available, or available at all; or
the information on this website is complete, true, accurate or non-misleading.
Nothing on this website constitutes, or is meant to constitute, advice of any kind. [If you require advice in relation to any [legal, financial or medical] matter you should consult an appropriate professional.]

Limitations of Liability
ALT Agency will not be liable to you (whether under the law of contact, the law of torts or otherwise) in relation to the contents of, or use of, or otherwise in connection with, this website:
[to the extent that the website is provided free-of-charge, for any direct loss;]
for any indirect, special or consequential loss; or
for any business losses, loss of revenue, income, profits or anticipated savings, loss of contracts or business relationships, loss of reputation or goodwill, or loss or corruption of information or data.
These limitations of liability apply even if ALT Agency has been expressly advised of the potential loss.

Indemnity
You hereby indemnify ALT Agency and undertake to keep ALT Agency indemnified against any losses, damages, costs, liabilities and expenses (including without limitation legal expenses and any amounts paid by ALT Agency to a third party in settlement of a claim or dispute on the advice of ALT Agency’s legal advisers) incurred or suffered by ALT Agency arising out of any breach by you of any provision of these terms and conditions[, or arising out of any claim that you have breached any provision of these terms and conditions].

Out of hours service
ALT Agency does not offer or guarantee a service outside the normal working hours of 9am – 5pm GMT.

Priority of work
Whilst ALT Agency always tries to deal with issues as quickly as they are identified and brought to our attention for clients not on a retainer agreement for their website, ALT Agency is not responsible for their website and has no obligation to fix issues that have arrived 90 days after acceptance / final payment. For those on a retainer agreement with ALT Agency, issues that occur after 2pm GMT will be queued until the following morning and not dealt with on the same day.

Pen testing
ALT Agency does not provide pen testing services as part of any agreement and it is always up to the client to source then own pen testing services.

Data
The client and not ALT Agency is responsible for all data and any data breaches that may occur on their website. Whilst ALT Agency always acts in good faith and to the best of our knowledge it is not always possible to 100% secure a website although best efforts are always taken. It is important that the client keeps their plugins, themes and website software once the project is handed over from Alt Agency. Unless other wise agreed ALT Agency will not automatically be responsible for the maintenance, security or upkeep of your website unless otherwise agreed.

Sub-Contracting
ALT Agency may use third party approved contractors and reserves the right to do so without notifying you or obtaining your consent.

SEO/Maintenance retainers
Our SEO results are unique to each client depending upon a number of factors and are not guaranteed in anyway.
SEO and Maintenance retainers can be cancelled at any time with 1 month’s prior notice.

Assignment
ALT Agency may transfer, sub-contract or otherwise deal with ALT Agency’s rights and/or obligations under these terms and conditions without notifying you or obtaining your consent.
You may not transfer, sub-contract or otherwise deal with your rights and/or obligations under these terms and conditions.

Law and jurisdiction
These terms and conditions will be governed by and construed in accordance with UK law, and any disputes relating to these terms and conditions will be subject to the [non-]exclusive jurisdiction of the courts of England and Wales, Scotland and Northern Ireland.
